Mr. Bruce Hardy McLain is the NonExecutive Independent Director of Samsonite International SA. He served as a NonExecutive Director from May 2011 until June 2014. He served as a nonexecutive director of the consolidated group from October 2007 until May 2011. Mr. McLain is a cofounder, and serves on the board, of CVC Capital Partners, from which he retired as managing partner in December 2012. Mr. McLain joined Citicorp VC in 1988, and in 1993 participated along with fellow managers in the acquisition of Citicorp VC from Citigroup and the founding of CVC Capital Partners. Since founding CVC Capital Partners he was involved in and held directorships with a number of companies including Formula One, the Dorna Sports Group, Rapala VMC OYJ, Punch Taverns Plc, Spirit Group Holdings Limited, Kappa Holding BV, Hayman Sports LLC and Terressential Corporationration. He is currently a nonexecutive director of Everbright Ltd., Mount Street Group Limited and the Lecta Group. Prior to joining Citicorp Development Capital, Mr. McLain worked for Citicorps investment management and mezzanine finance groups since 2011.

SAMS INTERNAT R Leadership Team
Elected by the shareholders, the SAMS INTERNAT's board of directors comprises two types of representatives: SAMS INTERNAT inside directors who are chosen from within the company, and outside directors, selected externally and held independent of SAMS. The board's role is to monitor SAMS INTERNAT's management team and ensure that shareholders' interests are well served. SAMS INTERNAT's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, SAMS INTERNAT's outside directors are responsible for providing unbiased perspectives on the board's policies.
