Dr. Henry Gabbay is an Independent Trustee of BlackRock Income Trust Inc. Mr. Gabbays many years of experience in finance provide the Boards with a wealth of practical business knowledge and leadership. In particular, Mr. Gabbays experience as a Consultant for and Managing Director of BlackRock, Inc., Chief Administrative Officer of BlackRock Advisors, LLC and President of BlackRock Funds provides the Funds with greater insight into the analysis and evaluation of both its existing investment portfolios and potential future investments as well as enhanced oversight of its investment decisions and investment valuation processes. In addition, Mr. Gabbays former positions as Chief Administrative Officer of BlackRock Advisors, LLC and as Treasurer of certain BlackRock ClosedEnd Funds, as well as his former positions on the boards of directorstrustees of certain funds in the BlackRock MultiAsset Complex and the BlackRock FixedIncome Complex, provide the Boards with direct knowledge of the operations of the Funds and the Advisor. Mr. Gabbays previous service on and longstanding relationship with the Boards also provide him with a specific understanding of the Funds, their operations, and the business and regulatory issues facing the Funds. Mr. Gabbays knowledge of financial and accounting matters qualifies him to serve as a member of the Audit Committee
