Mr. Ralph W. Bradshaw is Chairman of the Board, Director and president of the company, since 1998. He is cofounder of Cornerstone Advisors, Inc. and has served as its President since its inception in 2001. He brings over 25 years of extensive investment management experience and also formerly served as a director of several other closedend funds. Prior to founding the Investment Adviser, he served in consulting and management capacities for registered investment advisory firms specializing in closedend fund investments. His experiences include developing and implementing successful trading strategies with a variety of underlying portfolios containing domestic and international equity and fixedincome investments. In addition, he was a financial consultant and has held managerial positions or operated small businesses in several industries. Mr. Bradshaw holds a B.S. in Chemical Engineering and an M.B.A. Mr. Bradshaw provides the Board with effective business judgment and an ability to interact effectively with the other Directors, as well as with the other service providers, counsel and the Funds independent auditor. Mr. Bradshaw commits a significant amount of time to the Fund as a Director and Officer, in addition to serving as President of the Investment Adviser. The Board values his strong moral character and integrity.

Cornerstone Strategic Leadership Team
Elected by the shareholders, the Cornerstone Strategic's board of directors comprises two types of representatives: Cornerstone Strategic inside directors who are chosen from within the company, and outside directors, selected externally and held independent of Cornerstone. The board's role is to monitor Cornerstone Strategic's management team and ensure that shareholders' interests are well served. Cornerstone Strategic's inside directors are responsible for reviewing and approving budgets prepared by upper management to implement core corporate initiatives and projects. On the other hand, Cornerstone Strategic's outside directors are responsible for providing unbiased perspectives on the board's policies.
