Mr. Vinod M. Khilnani is an Independent Director of the Company. Mr. Khilnani is the retired Executive Chairman of the Board of Directors of CTS Corporationrationration, Elkhart, Indiana, which designs, manufacturers, and sells electronic components and sensors primarily to original equipment manufacturers worldwide. He joined CTS in May 2001 as Senior Vice President and Chief Financial Officer in July 2007, he became President and Chief Executive Officer in 2009 he was also elected as Chairman of the Board and from January 2013 until his retirement in May 2013 he served as Executive Chairman. Mr. Khilnani has over 35 years of experience in the electronics, aerospace and commercial manufacturing industries, including extensive experience in mergers and acquisitions and international business development in Asia and Europe as well as North America. In addition to serving on the Companys Board of Directors, Mr. Khilnani is a director of Materion Corporationrationration, a manufacturer of advanced materials, performance alloys and composites, and precision coatings, where he serves as NonExecutive Chairman of the Board and Chair of both the Executive Committee and the Governance and Organization Committee as well as a member of the Compensation Committee a director of 1st Source Corporationrationration, the parent company of 1st Source Bank, where he serves as Chairman of the Audit Committee and a member of the Executive Committee and a director of Gibraltar Industries, Inc., a manufacturer and distributor of products for the building markets, where he serves as Chairman of the Nominating and Corporationrationrate Governance Committee and a member of the Compensation Committee since 2016.
