Ms. Margaret Cotter is the Vice Chairman of the Board, Executive Vice President Real Estate Management and DevelopmentNYC of the Company. She was appointed ViceChairperson of our Board on August 7, 2014. On March 10, 2016, our Board appointed ViceChairperson Cotter as Executive Vice PresidentReal Estate Management and DevelopmentNYC, and ViceChairperson Cotter became a fulltime employee of our Company. In this position, ViceChairperson Cotter is responsible for the daily management of our live theater properties and operations, including the oversight of the day to day development process of our Union Square and Cinemas 1, 2, 3 properties and oversight of our Chicago and Pennsylvania real estate holdings. ViceChairperson Cotter was the owner and President of OBI, LLC, which, from 2002 until her appointment as Executive Vice President Real Estate Management and Development NYC, managed our live theater operations under a management agreement and provided management and various services regarding the development of our New York theater and cinema properties. Pursuant to the OBI management agreement, ViceChairperson Cotter also served as the President of Liberty Theaters, LLC, the subsidiary through which we own our live theaters. The OBI management agreement was terminated with ViceChairperson Cotters appointment as Executive Vice PresidentReal Estate Management and DevelopmentNYC. Cotter is the owner and President of OBI, LLC, a company that provides live theater management services to our live theaters. Pursuant to that management arrangement, She also serves as the President of Liberty Theaters, LLC, the subsidiary through which we own our live theaters. She receives no compensation for this position, other than the right to participate in our company’s medical insurance program. She manages the real estate which houses each of the four live theaters under our Theater Management Agreement with Ms. Cotter’s company, OBI LLC. She secures leases, manages tenancies, oversees maintenance and regulatory compliance of these properties as well as heads the day to day predevelopment process and transition of our properties from theater operations to major realty developments. She was first commissioned to handle these properties by Sutton Hill Associates, which subsequently sold the business to our company along with other real estate and theaters in 2000
