Dr. Dennis E. Hruby Ph.D., is Chief Scientific Officer, Vice President of the Company., since June 2000. On January 22, 2007, we entered into an employment agreement with Dr. Dennis E. Hruby, our Vice President and Chief Scientific Officer, which agreement was amended on December 21, 2011. Pursuant to this employment agreement, Dr. Hrubys base salary was set at an annual amount of 500, 000, subject to any cost of living adjustments as may be approved by the Board of Directors, and an annual cash bonus, the target of which was 250, 000, as determined by the Board of Directors in its sole discretion. Pursuant to the amended and restated employment agreement that became effective on April 12, 2016, we agreed to pay to Dr. Hruby an annual base salary of 562, 755, subject to an automatic increase of three percent above the amount of his base salary in effect at the end of the prior calendar year. On January 1, 2018, Mr. Hrubys base salary was adjusted to 597, 027 pursuant to the automatic increase. The automatic increase terminates upon the third anniversary of the occurrence of a Change of Control. since 2000.

Elected by the shareholders, the SIGA Technologies' board of directors comprises two types of representatives: SIGA Technologies inside directors who are chosen from within the company, and outside directors, selected externally and held independent of SIGA.
