Mr. Gregory B. Butler is Senior Vice President, General Counsel, Director of NSTAR Electric Co., Mr. Butler became Senior Vice President, General Counsel and Secretary of NU and Senior Vice President and General Counsel of NSTAR Electric, NSTAR Gas and NSTAR Electric Gas upon completion of the Merger. He has served as Senior Vice President and General Counsel of CLP, PSNH, WMECO, Yankee Gas and NUSCO since March 9, 2006. Mr. Butler was elected a Director of NSTAR Electric, NSTAR Gas and NSTAR Electric Gas upon completion of the Merger. He has served as a Director of NUSCO since November 27, 2012, and of CLP, PSNH, WMECO and Yankee Gas since April 22, 2009. Previously Mr. Butler served as Senior Vice President and General Counsel of NU from December 1, 2005 to April 2012. Mr. Butler became a Trustee of the NSTAR Foundation effective upon completion of the Merger. He has served as a Director of Northeast Utilities Foundation, Inc. since December 1, 2002.

Elected by the shareholders, the NSTAR Electric's board of directors comprises two types of representatives: NSTAR Electric inside directors who are chosen from within the company, and outside directors, selected externally and held independent of NSTAR.
